These Terms of Service (“Terms”) govern your access to and use of products, services, hardware, software, subscriptions, support, configuration, consulting, and related services provided by Streamology Media Group, LLC (“Streamology,” “we,” “us,” or “our”). By purchasing, accessing, or using our products or services, you agree to these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you may not purchase, access, or use our products or services.
1. Services
Streamology provides live video streaming, video platform services, configured hardware, software, support, and related technology services. Services may include subscription-based access, usage-based services, hardware sales, managed configuration, consulting, and other products or services made available through our website, Shopify store, quotes, invoices, order forms, or other written communications.
All orders involving hardware, software, or platform configuration may be built, configured, provisioned, tested, or customized individually based on customer requirements.
2. Orders, Availability, and Fulfillment
All orders are subject to acceptance, product availability, vendor availability, configuration requirements, testing requirements, and operational capacity.
Shipping, provisioning, and delivery timelines are estimates only unless expressly stated otherwise in writing. We are not responsible for delays caused by manufacturers, distributors, carriers, supply chain interruptions, incorrect customer information, customs, weather, force majeure events, or other circumstances outside of our reasonable control.
We may modify, reject, cancel, or delay an order if required due to availability, pricing errors, suspected fraud, compliance concerns, technical limitations, or other reasonable business needs.
3. Subscriptions and Usage-Based Services
Certain services may be purchased as subscriptions or usage-based services. Subscription services may renew automatically unless canceled in accordance with the applicable order, invoice, agreement, or cancellation policy.
Usage-based charges may vary based on bandwidth, storage, viewer usage, ingest usage, stream count, hardware count, support usage, or other applicable metrics. You are responsible for all charges incurred through your account or use of the services.
Unless otherwise stated in writing, subscription fees, setup fees, configuration fees, hardware fees, and other charges are non-refundable.
4. Payment Terms
You agree to pay all amounts due for products and services ordered from Streamology. Payment terms may be stated at checkout, in an invoice, quote, order form, written agreement, or other written communication.
If payment is made by credit card or another electronic payment method, you authorize us to charge that payment method for all applicable purchases, renewals, usage charges, taxes, shipping charges, and other fees.
If any amount is overdue, we may suspend or limit services, delay fulfillment, withhold support, charge late fees or interest where permitted by law, require updated payment terms, or pursue any other remedy available to us.
You are responsible for providing accurate billing, shipping, tax, and contact information and for keeping that information up to date.
5. Taxes
Prices do not include taxes, duties, tariffs, customs charges, or governmental assessments unless expressly stated. You are responsible for all applicable taxes and similar charges associated with your purchase or use of our products and services.
If we are required to collect or pay taxes on your behalf, those amounts may be added to your invoice or order total.
6. Customer Responsibilities
You are responsible for your use of the products and services and for the actions of your employees, contractors, agents, viewers, users, customers, and other parties who access the services through you.
You agree to:
- Use the services only in compliance with applicable laws, regulations, and these Terms.
- Obtain and maintain any licenses, permissions, consents, rights, or approvals required for your content or use case.
- Prevent unauthorized access to your account, equipment, streams, credentials, and services.
- Notify us promptly of any unauthorized access, security issue, or misuse.
- Provide accurate technical, billing, shipping, and contact information.
- Maintain any internet connectivity, power, networking, third-party hardware, software, cameras, encoders, or other equipment required for your use of the services unless expressly included in the services purchased from us.
You are solely responsible for the content you provide, transmit, store, publish, stream, or otherwise make available through the services.
7. Content and Rights
You retain ownership of your content. By using the services, you grant Streamology the rights necessary to host, transmit, process, display, encode, transcode, package, distribute, monitor, troubleshoot, and otherwise operate the services for your benefit.
You represent and warrant that you have all rights necessary to use, stream, distribute, display, and transmit your content through the services.
We are not responsible for determining whether your content is lawful, licensed, authorized, or permitted for distribution. You are solely responsible for copyright, privacy, publicity, licensing, and other legal obligations related to your content.
8. Content Security
Unless expressly agreed in writing, Streamology does not guarantee that content hosted, transmitted, or made available through the services cannot be copied, recorded, redistributed, accessed, or otherwise misused by third parties.
You are responsible for determining whether the services are appropriate for your content protection requirements. We disclaim responsibility for unauthorized copying, redistribution, screen recording, sharing, or other misuse of your content by third parties.
9. Third-Party Products and Services
The services may depend on third-party products or services, including internet service providers, cloud providers, content delivery networks, carriers, camera manufacturers, hardware manufacturers, software vendors, payment processors, shipping carriers, and other suppliers.
We are not responsible for failures, delays, defects, outages, incompatibilities, or performance issues caused by third-party products or services.
If third-party hardware, software, network connectivity, power, configuration, or other customer-controlled systems interfere with the services, you remain responsible for all applicable fees. We may suspend or limit services until the issue is corrected.
10. Service Availability and Best-Efforts Operation
Streamology will use commercially reasonable efforts to provide reliable services. However, all services are provided on a best-efforts basis unless a separate written service level agreement expressly states otherwise.
Video streaming and related services may be affected by many factors outside our control, including internet instability, network congestion, power issues, carrier outages, third-party service failures, hardware failures, customer equipment, camera issues, encoder issues, denial-of-service attacks, viewer devices, browser compatibility, and other technical conditions.
We do not guarantee uninterrupted, error-free, or perfectly reliable service.
11. Planned Maintenance and Emergency Maintenance
We may perform planned or emergency maintenance, upgrades, repairs, replacements, security updates, or other work that may affect service availability. Where practical, we will provide advance notice of planned downtime.
We may take immediate action without advance notice if necessary to protect our network, customers, systems, services, data, vendors, or other infrastructure.
12. Prohibited Uses
You may not use the products or services to:
- Violate any applicable law or regulation.
- Infringe intellectual property, privacy, publicity, or other rights.
- Transmit unlawful, harmful, abusive, defamatory, obscene, or otherwise objectionable content.
- Interfere with or disrupt our systems, networks, customers, or vendors.
- Attempt unauthorized access to any system, account, device, network, or service.
- Reverse engineer, resell, sublicense, or misuse the services except as expressly permitted.
- Use the services in life-support, life-safety, nuclear, emergency response, or other high-risk applications where failure could result in personal injury, death, or catastrophic property damage.
- Use the services in violation of export control, sanctions, or restricted-party laws.
13. Suspension or Termination
We may suspend, limit, or terminate services if:
- You fail to pay amounts when due.
- You violate these Terms or any applicable agreement.
- Your use creates security, legal, operational, network, reputational, or technical risk.
- Your account or services are accessed without authorization.
- You fail to cooperate with an investigation of suspected misuse.
- Suspension is necessary to protect Streamology, our customers, our vendors, or our infrastructure.
Suspension does not relieve you of payment obligations incurred before or during the suspension period.
You may cancel services according to the applicable order, subscription terms, written agreement, or cancellation policy. Some services may require advance notice, and early termination charges may apply if stated in an applicable agreement, invoice, quote, or order form.
14. Hardware, Configured Equipment, and Returns
Hardware, configured systems, special-order items, custom-built products, provisioned devices, software-configured equipment, and built-to-order items may be non-cancelable and non-refundable once ordered, configured, provisioned, shipped, or placed into production unless otherwise stated in writing.
Any approved return must comply with our return instructions and may be subject to restocking fees, inspection, shipping charges, missing component charges, damage charges, or configuration recovery charges.
We are not responsible for customer damage, improper installation, misuse, power issues, environmental issues, network issues, or third-party modifications.
15. Intellectual Property
Streamology and its licensors retain all rights, title, and interest in and to our platform, services, software, systems, workflows, designs, documentation, processes, trademarks, logos, and related intellectual property.
No rights are granted to you except the limited right to access and use the services you purchased, subject to these Terms.
If you provide suggestions, feedback, recommendations, corrections, feature requests, or other input, you grant us a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation.
16. Warranties and Disclaimers
Except as expressly stated in writing, all products and services are provided “as is” and “as available.”
To the fullest extent permitted by law, Streamology disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, security, performance, compatibility, or suitability for any particular use.
Any manufacturer warranties for hardware or third-party products are provided by the applicable manufacturer, not Streamology, unless expressly stated otherwise in writing.
17. Indemnification
You agree to defend, indemnify, and hold harmless Streamology, its affiliates, officers, members, employees, contractors, suppliers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use or misuse of the products or services.
- Your content.
- Your violation of these Terms or applicable law.
- Your infringement or alleged infringement of third-party rights.
- Your negligence, willful misconduct, or failure to secure your systems or credentials.
- Claims made by your customers, users, viewers, employees, contractors, or other third parties.
18. Limitation of Liability
To the fullest extent permitted by law, Streamology will not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including lost profits, lost revenue, lost business opportunity, loss of goodwill, loss of data, service interruption, or cost of substitute services, even if we have been advised of the possibility of such damages.
We are not liable for damages caused by third-party products or services, customer equipment, internet providers, carriers, power failures, customer content, unauthorized access, customer negligence, or circumstances outside our reasonable control.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the products or services will not exceed the amounts paid by you to Streamology for the affected product or service during the six months immediately preceding the event giving rise to the claim.
19. Force Majeure
Neither party will be responsible for delay or failure to perform due to events beyond its reasonable control, including acts of God, fire, flood, storm, natural disasters, war, terrorism, civil unrest, labor disputes, supply chain interruptions, material shortages, carrier failures, internet outages, denial-of-service attacks, governmental actions, utility failures, or other events beyond reasonable control.
20. Privacy and Data
Your use of the services may involve the transmission or processing of information, including technical, usage, billing, contact, and operational data. You are responsible for ensuring that your use of the services complies with applicable privacy, data protection, consent, and retention laws.
We may collect and use information necessary to operate, secure, support, improve, bill, monitor, and troubleshoot the products and services.
21. Export and Sanctions Compliance
You may not use, export, re-export, or provide access to the products or services in violation of United States export control laws, sanctions laws, or restricted-party regulations.
You represent that you are not prohibited from receiving the products or services under applicable sanctions, export control, or restricted-party laws.
22. Notices
We may provide notices by email, account notification, invoice message, website posting, or other reasonable electronic means. Notices to Streamology must be sent to the contact information listed on our website or in the applicable agreement, invoice, or order form.
23. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
24. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms, the products, or the services will be resolved by binding arbitration, except that either party may bring an individual claim in small claims court if permitted by law.
You agree that disputes will be handled only on an individual basis. You may not bring or participate in any class action, class arbitration, representative action, or consolidated proceeding against Streamology.
If arbitration is found unenforceable or does not apply, any legal proceeding must be brought in the state or federal courts located in Ohio, and you consent to jurisdiction and venue in those courts.
25. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on our website or otherwise made available. Your continued use of the products or services after updated Terms are posted or provided constitutes acceptance of the updated Terms.
26. Entire Agreement
These Terms, together with any applicable quote, invoice, order form, service agreement, statement of work, subscription terms, policies, or written addendum, constitute the entire agreement between you and Streamology regarding the products and services.
If there is a conflict between these Terms and a separately executed written agreement signed by Streamology, the signed written agreement will control for the specific products or services covered by that agreement.
